Scope

These terms apply to engagements between Codieshub and clients who have signed a Master Services Agreement (MSA) or Statement of Work (SOW). The site terms in /terms-condition govern your use of this website specifically.

Service description

Codieshub provides custom software engineering, AI/ML development, design, and related advisory services. Specific deliverables, timelines, and acceptance criteria for each engagement are defined in the SOW.

Fees and payment

Fees, payment milestones, and currency are defined per SOW. Default invoice terms are net-15 unless otherwise agreed. Late payment is subject to interest at the maximum rate permitted by law.

Intellectual property

Default IP terms: client owns the deliverables and any custom code authored under the SOW upon full payment. Codieshub retains rights to general know-how, frameworks, and pre-existing IP. Specific IP terms may be negotiated per SOW.

Confidentiality

Both parties agree to keep confidential information shared during the engagement private and use it only for the purposes of the engagement. Confidentiality obligations survive termination of the engagement.

Acceptance and warranty

Deliverables are subject to the acceptance criteria in the SOW. Codieshub warrants services will conform to the SOW for 30 days following delivery. Defects identified within that window will be corrected at no additional charge.

Limitation of liability

Liability is limited to the fees paid under the relevant SOW. Neither party is liable for indirect, incidental, special, or consequential damages.

Termination

Either party may terminate an engagement on written notice per the SOW's termination clause. Upon termination, client pays for work completed and accepted through the termination date.

Governing law

Engagements are governed by the laws of the jurisdiction specified in the MSA or SOW. Disputes are first attempted to be resolved through good-faith negotiation; unresolved disputes go to binding arbitration unless the SOW specifies otherwise.
